Terms of Service

Welcome to Quarry Connect. Quarry Connect is operated by Stella International, Inc. and its affiliates (“Quarry Connect”, “we” and “us”). We provide this website, quarryconnect.com (the “Website”), and Quarry Connect Software (the “Software”), the browser-based system used by Brokers and quarries, subject to these Terms of Service (the “Terms”). By using the Website or the Software, you accept and agree to these Terms.

To use the Software or any current or future Quarry Connect services, content or other materials, your organization must also agree to and sign a Customer or Sales Agreement governing that use (the “Agreement”). Where these Terms and the Agreement differ, the Agreement applies. The Quarry Connect Driver App has its own Driver App Terms of Use.

Privacy

Please review our Privacy Policy, which also governs your use of the Website and the Software.

Electronic communications

When you visit the Website, use the Software or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the Website or in the Software. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Copyright

All content included on the Website and in the Software, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software, is owned by or licensed to Quarry Connect or its content suppliers and is protected by United States and international copyright laws. The compilation of all content on the Website and in the Software is the exclusive property of Quarry Connect and is protected by U.S. and international copyright laws.

Trademarks

“Quarry Connect”, “Quarry Connect Software”, “Quarry Connect Driver App” and other Quarry Connect graphics, logos, page headers, button icons, scripts and service names are trademarks, registered trademarks or trade dress of Quarry Connect in the U.S.A. They may not be used in connection with any product or service that is not Quarry Connect’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Quarry Connect. All other trademarks that appear on the Website or in the Software are the property of their respective owners, who may or may not be affiliated with, connected to or sponsored by Quarry Connect.

Patents

One or more patents owned by Quarry Connect or its affiliates may apply to the Website, the Software and the features and services available through them. Portions of the Software may operate under license of one or more patents.

License and access

Quarry Connect grants you a limited license to access and make personal use of the Website, and not to download (other than page caching) or modify it, or any portion of it, except with the express written consent of Quarry Connect. This license does not include any resale or commercial use of the Website or its contents; any derivative use of the Website or its contents; any downloading or copying of account information; or any use of data mining, robots or similar data gathering and extraction tools. Your right to use the Software, and any data, documentation or other materials you access or download through it, is set by the Agreement.

The Website and the Software, or any portion of them, may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any commercial purpose without the express written consent of Quarry Connect. You may not frame or use framing techniques to enclose any trademark, logo or other proprietary information (including images, text, page layout or form) of Quarry Connect without express written consent. You may not use any meta tags or any other “hidden text” using Quarry Connect’s name or trademarks without the express written consent of Quarry Connect. Any unauthorized use ends the permission or license granted by Quarry Connect. You may link to the home page of the Website, as long as the link does not portray Quarry Connect or its products or services in a false, misleading, derogatory or otherwise offensive manner. You may not use any Quarry Connect logo or other proprietary graphic or trademark as part of the link without express written permission or as permitted in the Agreement.

Your account

If you use the Software, you are responsible for keeping your Quarry Connect account and password confidential and for restricting access to your computer and devices, and you accept responsibility for all activities that occur under your account or password. Quarry Connect reserves the right to refuse service, close accounts, and remove or edit content in its sole discretion.

Content you submit

You may submit comments, suggestions, ideas, questions and other content, as long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of “spam”. You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any content. Quarry Connect reserves the right (but not the obligation) to remove or edit such content, but does not regularly review it.

You represent and warrant that you own or otherwise control all of the rights to the content you submit, including any third-party content; that the content is accurate; that use of the content you supply does not violate these Terms and will not cause injury to any person or entity; and that you will indemnify Quarry Connect for all claims resulting from content you supply. Quarry Connect takes no responsibility and assumes no liability for any content submitted by you or any third party.

Information on the Website

We keep the Website accurate and current as far as we reasonably can, but it is provided for general information. Descriptions of product capability are not a warranty or a commitment to deliver any particular feature on any particular date. Nothing on the Website forms a contract or an offer to contract.

Copyright complaints

Quarry Connect respects the intellectual property of others. If you believe that your work has been copied in a way that is a copyright infringement, please email sales@quarryconnect.com with the details.

Disclaimer of warranties and limitation of liability

THE WEBSITE, THE SOFTWARE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THEM ARE PROVIDED BY QUARRY CONNECT ON AN “AS IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN THE AGREEMENT. QUARRY CONNECT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE WEBSITE OR THE SOFTWARE, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THEM, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE WEBSITE IS AT YOUR SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, QUARRY CONNECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SMS terms

Program. Quarry Connect Job texts, sent by Stella International, Inc. (Quarry Connect) on behalf of the Broker you drive for. Messages cover Job assignments, schedule changes, cancellations, status checks and replies from dispatch. No marketing messages are sent.

Consent. You agree to receive these texts when you sign up as a Quarry Connect Driver and confirm your mobile number, or when the Broker you work for adds you with your agreement. Consent is not a condition of any purchase.

Frequency and cost. Message frequency varies with your work. Message and data rates may apply.

Opting out and help. Reply STOP to stop receiving texts from that number; you will get one confirmation text. Reply START to resubscribe. Reply HELP for help, or contact sales@quarryconnect.com.

Carriers. Carriers are not liable for delayed or undelivered messages.

Privacy. See our Privacy Policy. We do not sell or share your SMS opt-in data for marketing purposes.

Applicable law

By using the Website or the Software, you agree that the laws of the State of Texas, without regard to principles of conflict of laws, govern any dispute of any sort that might arise under or relate to these Terms or your use of the Website or the Software.

Disputes

Any dispute relating in any way to your visit to the Website, your use of the Software, or services provided by Quarry Connect, in which the aggregate total claim for relief sought on behalf of one or more parties exceeds $7,500, shall be decided in the courts in Austin, Texas, and you consent to exclusive jurisdiction and venue in those courts.

Policies, changes and severability

Please review our other policies on the Website. These policies also govern your visit to the Website and your use of the Software. We reserve the right to change the Website, the Software, our policies and these Terms at any time. The version posted here is the one in effect. If any of these Terms is found invalid, void or for any reason unenforceable, that term is severable and does not affect the validity and enforceability of the remaining terms.
